Try Redflaggr

Redflaggr gives a general, AI-prepared review of the text you paste. It is not a law firm, does not give legal advice, and can miss things or be wrong about how a court would apply the law to your facts. For high-value deals, equity, personal guarantees or an existing dispute, have a qualified lawyer in your jurisdiction review the contract before you sign.

Is that clause even enforceable?

The short answer for India, the US and the UK. General rules only: your facts and the contract's governing law matter.

Non-compete after the contract or job ends

India
Generally void: agreements in restraint of trade are void under Section 27 of the Contract Act. Restrictions during the contract are treated differently.
USA
No federal ban (the FTC rule was set aside). Void in California; broadly banned for employees in Minnesota, North Dakota and Oklahoma; other states test reasonableness or salary thresholds.
UK
Enforced only if it protects a legitimate business interest and is no wider than reasonably necessary. The government has announced reform; nothing new is in force yet.

Bond / training-cost / penalty if you leave

India
Cannot force you to keep working. Courts usually award only reasonable compensation for real loss, up to the stated amount (Section 74).
USA
Varies by state; training-repayment terms face growing limits. Check your state.
UK
A clause that punishes rather than protects a legitimate interest can be struck down as a penalty.

When you must be paid

India
Udyam-registered micro and small suppliers: within the agreed period, never more than 45 days from acceptance (15 days if nothing agreed), else compound interest at 3x the RBI bank rate (MSMED Act s.15-16).
USA
Mostly whatever the contract says. New York freelancers ($800+): written contract required, and payment by the contract date or within 30 days of completion.
UK
Statutory interest at 8% above Bank of England base rate on late B2B payments, plus fixed compensation (Late Payment Act 1998).

Who owns the work if the contract says nothing

India
A freelancer keeps copyright unless assigned in writing. An assignment silent on duration lasts 5 years; silent on territory, covers India only (Copyright Act s.19).
USA
A contractor keeps copyright unless there is a signed assignment or the work fits a "work made for hire" category. California limits employee invention assignment (Labor Code 2870).
UK
A contractor keeps copyright unless assigned in writing; employees' work in the course of employment belongs to the employer.

How to push back without losing the deal

  1. Fix 3 things, not 15

Long lists of changes make you look difficult and get rejected together. Pick the Must-fix items and let the rest go.

  2. Bring the wording, not just the objection

"Can we cap liability at fees paid in the last 12 months?" gets a yes far more often than "the indemnity is too broad".

  3. Ask for mutual

Termination, confidentiality, indemnity and notice that apply to both sides are hard to refuse without looking unreasonable.

  4. Keep a fallback ready

If they say no to removing a non-compete, ask to limit it to named competitors for 6 months. A smaller win still counts.

  5. Put it in writing before you start work

Agreed changes belong in the signed contract or a written amendment, not a call or a chat message.

Redflaggr does this for you: the 3 changes that matter, paste-ready wording with a fallback for each, and a friendly email asking for them. ₹199 / $4 per contract, including 3 revisions.

Who it's for

  • "A big client sent me their MSA and SOW. Is the indemnity and IP clause normal or should I push back?"
  • "My offer letter has a 2-year bond, 90-day notice and a non-compete. Can they actually enforce this in India?"
  • "I'm a founder signing a vendor / SaaS / partnership agreement and we have no in-house lawyer."
  • "Brand sent me an influencer contract with perpetual usage rights and exclusivity. What do I ask for?"
  • "They want an NDA signed before the first call. Is it mutual? How long does it last?"

Why people use Redflaggr

A contract usually arrives with a "please sign by Friday". Buried in it is one clause that can cost more than the whole deal: you indemnify the client for "any and all claims" with no cap, they own everything you create "whether or not related", they pay 90 days after they "approve" your invoice, or you can't work in your industry for two years. A lawyer is the right call for big deals, but for a ₹1 lakh project or a job offer most people either sign blind or paste it into ChatGPT and get a long, generic list with no idea what actually matters. Redflaggr reads the whole contract from your side and tells you what a careful lawyer would: sign, sign after changes, or don't sign yet. Then it ranks the clauses that matter, says what is normal and whether the clause is even enforceable where you are, gives you replacement wording plus a fallback you can live with, and writes the polite email that asks for the changes without losing the deal.

  • ✓ A clear verdict first: sign as is, sign after changes, or don't sign without a lawyer - with the 3 changes that matter most
  • ✓ The contract in 10 lines: who pays what and when, how it ends, who owns the work, what you are liable for
  • ✓ Every red flag ranked Must fix / Push / Fine to accept, with the exact clause quoted and what is normal for your type of deal
  • ✓ Local reality check: whether a non-compete, bond, penalty or payment term is actually enforceable in India, your US state, the UK and more
  • ✓ Paste-ready replacement wording for each clause, plus a fallback compromise if they say no
  • ✓ Missing protections added: liability cap, late fees, IP only on full payment, kill fee, change requests, notice before termination
  • ✓ A ready-to-send negotiation email that asks for the changes in order of priority, firm but friendly
  • ✓ Free in-browser red flag scanner below - checks 20+ risky clause patterns before you pay anything

Frequently asked questions

How much does it cost?

₹199 in India or $4 elsewhere for one full contract review, including up to 3 revisions (for example: "make the email softer", "I'm actually the client, redo it from that side", "add a clause for my portfolio rights"). There is no subscription. The red flag scanner on this page is free and runs in your browser.

Is this a replacement for a lawyer?

No. It is a fast, careful first pass so you know what to negotiate, and it tells you when a lawyer is worth paying for (large deals, equity, personal guarantees, unlimited liability they refuse to cap, a dispute already started). If you do hire a lawyer, the review and your questions make that meeting shorter and cheaper.

Why not just paste the contract into ChatGPT?

You can. What you usually get is a long, unranked list of everything that could go wrong. Redflaggr is built for the decision: a sign / don't sign verdict, the 3 changes that matter most, a Must fix / Push / Fine to accept ranking, whether the clause is enforceable where you live, paste-ready rewrites with a fallback if they say no, and an email to send. It is also told never to invent clauses and to say "Not in the contract" when a protection is missing.

Is a non-compete clause enforceable?

It depends on where you are. In India, Section 27 of the Contract Act makes agreements in restraint of trade void, so non-competes that apply after the job or contract ends are generally not enforced (restrictions during the contract, confidentiality and reasonable non-solicit clauses are treated differently). In California they are void. In the UK they are enforced only if they protect a legitimate interest and are no wider than necessary. Most US states fall somewhere in between. Your review tells you the position for your location.

Can my employer make me pay the bond amount if I leave early?

In India, a bond cannot force you to keep working. Courts usually allow the employer to recover only reasonable, proven losses (such as genuine training costs), not an arbitrary penalty, under Section 74 of the Contract Act. The review flags bond, notice-buyout and clawback clauses and suggests fairer wording, such as reducing the amount month by month.

Is my contract kept private?

The contract is sent to the AI model only to produce your review. Don't include anything you are not allowed to share - you can delete bank details, ID numbers or personal names first; the review doesn't need them. The free red flag scanner runs entirely in your browser and uploads nothing.

How long can the contract be?

Up to 50,000 characters, roughly 20-25 pages. For longer agreements, paste the main agreement first and use a revision to review a schedule or SOW.

Which countries does it understand?

It has specific rules for India, the US (including California, New York and states with non-compete bans), the UK and the EU, and applies general contract principles elsewhere while telling you where local rules may differ.

Can I upload a PDF or Word file?

Not yet. Open the file, select all (Ctrl/Cmd + A), copy and paste the text. Include schedules and the SOW if they are separate documents, because that is often where payment and scope live.
